Management Services Contract

The following agreement is written between Joe mastriano, P.C. and __________________________. It is agreed that the parties will perform the following functions.

Joe Mastriano, P.C. will agree to and produce the following:

• Provide leads of people interested in tax and other services that CPA's and Enrolled Agents provide for their clients.
• Teach their system for successfully representing taxpayers before the IRS. Provide an office, phone, tools, etc., as well as other services as needed, and or agreed upon.
• Provide client billing system and training. Provide scheduled reviews to assist in getting the best IRS solution for your clients.
• We reserve the right to terminate this agreement without cause.
• We have the right upon termination of the agreement to contact all clients and let them know we are no longer providing management services.
• We will also let them know that in addition to management services that we provide tax and representation services.
• This notice will not be a direct solicitation, nor will it contain the source of any disagreements

___________________________ will produce agree to and produce the following:

• Call and do follow up calls on all leads provided.
• Any practice entity operated under will be properly licensed by the Texas State Board of Public accountants.
• Collect fees, and obtain an engagement agreement outlining the nature of our management arrangement (according to the Texas State Board of Accountancy rules on fee arrangements). A sample will be  provided to you.
• Pay us 2/3 (two thirds) of all fees collected from each client. The percentage may be adjusted in the future as mutually agreed. This will be for all engagements started while under this contact, including times after this contract may no longer be in effect. This will continue for all clients retained under this agreement(and prior to signing), after termination of the working relationship of the parties. All money being held as retainage by any credit card or banking companies will be due and payable w/ in 30 days of termination.
• Maintain an online bank account, and payment processing function, granting our firm instant access for all banking transactions. This insures payment for money received is immediately disbursed. All money collected must be immediately deposited.
• Client billing, contact, and case files must be maintained within the agreed upon standards of Joe Mastriano, P.C.
